Bank BTPN’s 2023 AGMS Announces New Director, Commissioner


Jakarta, April 13, 2023 – The Annual General Meeting of Shareholders (AGMS) of PT Bank BTPN Tbk (Bank BTPN) announced new members of the Board of Directors and Board of Commissioners today in Jakarta.

 

The AGMS also decided to use the company's net profit booked during the 2022 financial year for dividend for the first time since 2017.

 

Bank BTPN President Director Henoch Munandar expressed the highest appreciation to all members of the Board of Directors and Board of Commissioners from the previous period for their dedication throughout their service.

 

“Bank BTPN has recorded another important milestone in its journey by announcing changes to the Board of Directors and Board of Commissioners. I also welcome the new Board of Directors and Board of Commissioners and hope to maintain the good performance onwards,” said Henoch.

 

Shareholders approved the appointment of Atsushi Hino as Director replacing Kan Funakoshi, with the term effective from the time his work and residence permits are issued until the next AGMS in 2025. Atsushi has passed the fit and proper test in accordance with decision made by the Financial Services Authority (OJK).

 

AGMS also announces the change in the composition of the Board of Commissioners by accepting the resignation of Irwan Mahjudin from his position as Independent Commissioner of the Company and appointing Onny Widjanarko whose term will be effective after obtaining OJK’s approval until the next AGMS in 2025.

 

Thus, the new composition of Bank BTPN’s Board of Directors is as follows:

  3. Deputy President Director: Darmadi Sutanto

  4. Director: Dini Herdini

  5. Director: Atsushi Hino*

Meanwhile, the composition of Bank BTPN’s Board of Commissioners is as follows:

  4. Independent Commissioner: Onny Widjanarko**

Furthermore, Bank BTPN's AGMS also decided to pay out dividends from net profit the bank booked in 2022. It will be the first dividend payout since 2017, in line with the bank’s commitment to always providing sustainable added value as well as appreciation to shareholders who have supported and maintained good relations with Bank BTPN.

 

Of the total net profit of Rp3.10 trillion in 2022, Bank BTPN will set aside 20 percent, or Rp619.14 billion, in dividend to shareholders. Bank BTPN's AGMS decided that the remaining net profit after deducting the allowance for dividends as retained earnings.

 

The positive growth in net profit is the results of the company’s performance and strong fundamentals, especially for its commitment to support the resilience of the national economy towards endemic.

 

Bank BTPN reported net profit growth of 16% in 2022 on the back of an increase in operating income and a decrease in credit costs. Bank BTPN managed to maintain a healthy level of liquidity and funding ratios.

 

Henoch said the dividend payout for the 2022 financial year is the achievement of all Bank BTPN’s employees over the post-merger solid performance and net profit that continuously grew in the last few years.

 

“I hope this could be a momentum to spark our optimism in continuing to record good performance to have positive impacts sustainably to our customers, shareholders, and people of Indonesia,” he said.
