BTPN EGM AGREES TO EQUITY PARTICIPATION IN BANK SAHABAT

Jakarta, 20 January 2014 - Consistent in encouraging financial access for the lower-income segment of society as well as for micro & small enterprises, including productive poor communities (mass market), PT Bank Tabungan Pensiunan Nasional Tbk (BTPN) continues to develop its business by focusing on serving and empowering this segment of society.
One of the strategic measures being undertaken by BTPN is to develop its Shariah Business Unit (Unit Usaha Syariah or UUS) into a Sharia Commercial Bank (Bank Umum Syariah or BUS). As part of this plan, today (20/1) BTPN held an Extraordinary General Meeting of Shareholders (EGM) to request agreement from its shareholders for a 70% share takeover of PT Bank Sahabat Purba Danarta (Bank Sahabat),  which will make BTPN as the majority and controlling shareholder of this company.

At the same time, shareholders also gave agreement for BTPN, after it becomes the controlling shareholder in Bank Sahabat (the name of which will be changed to PT Bank Tabungan Pensiunan Nasional Syariah/PT BTPN Syariah), to separate its current Shariah Business Unit (Unit Usaha Syariah) and merge it with Bank Sahabat,  in regards to the approvals of the regulators. This will be done after Bank Sahabat is converted into a shariah bank which complies with the shariah banking principles.

“After this EGM, our next step is to wait for the regulators to issue approval for the conversion of Bank Sahabat into a shariah bank as well as permission for the spin off of BTPN’s Shariah Business Unit (UUS),” said Anika Faisal, Director of BTPN.

From the beginning of this equity participation plan, all parties have upheld and adhered to the prevailing norms and regulations. The management of BTPN as well as the shareholders of Bank Sahabat had gone through a series of intensive consultations and communications with the regulators.

BTPN’s Shariah Business Unit (UUS) is focused on serving and empowering women from  underprivileged families. In offering its services, BTPN’s Shariah Business Unit (UUS) emphasizes two core components, namely female empowerment and integrated financial services for a brighter future.

“In line with its inclusive financial initiatives, BTPN has until now concentrated on developing a business model designed especially to fulfill the banking needs of the lower-income segment of society as well as for micro & small enterprises, including productive poor communities. Based on high-level data concerning the need of women from productive poor families to gain access to banking services, we have designed an innovative business model which is tailored to their needs,” said Anika.

Anika went on to explain that members of this segment not only require financial access, but also training and mentoring to increase their capacities so that they can develop and grow sustainable businesses. In a three year period, as of 30 September 2013, BTPN’s Shariah Business Unit (UUS) served 754 thousand female customers from productive poor families, with growth in financing of 188% reaching Rp 1.01 trillion. Meanwhile, the average loan was Rp 1.5 million per customer.
