Bank BTPN’s Extraordinary General Meeting of Shareholders Gives Nod to Changes in Board of Directors, Board of Commissioners


Jakarta, 18 November 2020 – An Extraordinary General Meeting of Shareholders (RUPSLB) of PT Bank BTPN Tbk (“Bank”) has approved personnel changes both in the Board of Directors and the Board of Commissioners. The shareholders approved the resignation of Kazuhisa Miyagawa from his post as Deputy President Director.

 

Miyagawa started his career at Bank Sakura in 1988, before it merged with Sumitomo Bank in 2001 and the name became Sumitomo Mitsui Banking Corporation (“SMBC”). After years of his service in Japan and South Korea, Miyagawa assumed a position of President Director at PT Bank Sumitomo Mitsui Indonesia (“SMBC Indonesia”) in 2014 in Indonesia, and helped supervise the merger of SMBC Indonesia into Bank BTPN in 2019.

 

“We would like to thank Bapak Kazuhisa Miyagawa for his contribution during his term at Bank BTPN in helping the merger of SMBCI into Bank BTPN,” said Ongki Wanadjati Dana, President Director of Bank BTPN.

 

The Meeting also gave a nod to the appointment of Kaoru Furuya as the new Deputy President Director in replacement of Miyagawa.

 

Furuya, a graduate of Hosei University in Tokyo, joined SMBC in 1989 and had been assigned to SMBC’s overseas branches in Hong Kong, the Philippines, New York, London and Singapore, in addition to his service in Tokyo.

 

“We look forward to working with Mr Furuya on this journey to further develop and expand the business of Bank BTPN,” said Ongki.

 

Also, the Meeting approved the change in the Board of Commissioners by appointing Chow Ying Hoong as President Commissioner. Chow was previously the Vice President Commissioner. He has served as a Bank BTPN Commissioner since 2015, and is knowledgeable about Bank BTPN and the business environment in Indonesia.

 

Meanwhile, shareholders agreed to appoint Edmund Tondobala as Bank BTPN’s Independent Commissioner, making the number of Independent Commissioners to three, out of a total of five Commissioners in the Board.

 

Edmund graduated from Drake University in Des Moines, Iowa, the US, majoring in Marketing and Finance, and earned a Master’s Degree in International Management from American Graduate School of International Management/Thunderbird in Arizona, the US.

 

Edmund had been working at PT Bank Central Asia Tbk (BCA) between 1990 and 2020, with his last position as Head of International Banking Division. He had his share working at BCA Finance Hongkong and BCA Remittance Sdn Bhd during his term at BCA.

Chow Ying Hoong and  Edmund Tondobala have passed the Financial Services Authority’s fit and proper test, and hence their appointment has come into effect since the Meeting’s approval. Kaoru Furuya’s position as the new Deputy President Director will be effective after administrative affairs are completed.
